Bob: In reviewing MiCA and more recently the 2nd consultation by ESMA, DEXes are screwed. The EU is being fair, clear and transparent, and indicating what "sufficiently decentralized” means - or NOT. Ethereum mainnet appears to be sufficiently decentralized by their definitions, but there’s a very slim chance DEXes will get the same treatment. When the laws start getting enforced, DEXes will be classified as VASPs/CASPs, which comes along with KYC, BSA, reporting, risk rating, etc., undermining a lot of their value proposition. And even if DEXes achieve “sufficiently decentralized”, their business will be worth a lot less. All of the publications on regulations are consistent with what I’ve been hearing behind closed doors; currently, DEXes would be considered transfer agents and subject to CASP requirements. What would it take for DEXes to be “sufficiently decentralized”? DEXes would need to (a) allow any GUI to access core smart contracts/AMMs, (b) not charge fees for GUI access, as they can't have a client relationship, and (c) the code of the core contracts need to be open sourced, and not even under an MIT license or similar; and upgrades, maintenance, etc. can't primarily come from a single source. If DEXes implemented the above, then their business will be severely harmed, as anyone with a GUI, (especially those with mass distribution) will directly access the core of, for example Uniswap, without paying Uniswap Labs any fees. Let’s say this fantasy future hypothetically became reality……do we really think regulators are going to allow 100s of billions of dollars to be transferred anonymously, without KYC or BSA at scale going into the future? As we saw with TornadoCash, even if the law doesn't necessarily apply or fit exactly, regulators will marginalize or shut these players down anyway. I know the crypto community really wants a potential non-KYC, DEXes-don’t-have-to-comply or be regulated kind of scenario, but I don't see a plausible future in which they remain un-regulated or with their businesses intact. Note: I’m just reporting the news. And when DEXes need to comply, Everest can help. Also, I’m a big fan of DeFi, and love the fact that retail users can participate in pools, and cut out the fat of TradFi middlemen - compliantly.
